These Terms and Conditions ("Terms") govern your use of the Nemtify website, located at nemtify.com, the NEMTIFY platform at app.nemtify.com, and all related services, including our SMS/text messaging program (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
Description of Services
NEMTIFY is a cloud-based software-as-a-service (SaaS) platform designed for non-emergency medical transportation (NEMT) operators. The platform provides tools for trip management, dispatching, billing, fleet compliance, customer relationship management (CRM), and communication tools including SMS/text messaging.
The Services are provided on a subscription basis. Access to certain features may vary depending on your subscription plan.
Account Registration and Security
- To access certain features of the Services, you must create an account and provide accurate, complete, and current information.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You agree to notify NEMTIFY immediately of any unauthorized use of your account.
- Each account is for a single user only. Account sharing is not permitted.
Acceptable Use
You agree that you will not:
- Use the Services for any illegal or unauthorized purpose.
- Attempt to gain unauthorized access to the Services, other accounts, or any systems or networks connected to the Services.
- Interfere with or disrupt the integrity or performance of the Services.
- Upload or transmit any viruses, malware, or other harmful code.
- Violate any applicable laws, regulations, or third-party rights, including HIPAA where applicable.
SMS/Text Messaging Program Terms
Program Name
NEMTIFY Ride Alerts & Account Notifications
Program Description
NEMTIFY sends SMS/text messages to registered users of the NEMTIFY non-emergency medical transportation (NEMT) platform. Messages include trip confirmations, ride status updates, driver estimated time of arrival (ETA) notifications, appointment reminders, schedule change alerts, account security codes (two-factor authentication), and other transactional notifications related to your use of the NEMTIFY platform.
Message Frequency
Message frequency varies. You may receive multiple messages per day when you have active or upcoming trips. Outside of active trip periods, message frequency is minimal and limited to account-related notifications.
Message and Data Rates
Message and data rates may apply. Contact your mobile carrier for details about your text messaging plan and any charges that may apply.
Opt-In / Consent
You may consent to receive SMS messages from NEMTIFY through the following methods:
- Web registration: When creating an account at app.nemtify.com, you provide your mobile phone number and agree to these Terms and Conditions, which includes consent to receive transactional SMS messages related to ride scheduling, status updates, and account security. The opt-in checkbox and Terms and Conditions link are visible on the registration form.
- Trip booking consent: When an NEMT operator books a trip on behalf of a client through the NEMTIFY platform, the client's phone number is collected with verbal or written consent, which is documented in the booking record.
- Keyword opt-in: You may text START to the NEMTIFY campaign phone number to opt in to receiving messages.
By opting in, you consent to receive recurring automated text messages from NEMTIFY at the mobile number you provided. Consent is not a condition of purchase or use of the NEMTIFY platform. Consent is not transferable or assignable.
Opt-Out / How to Stop Messages
You may opt out of receiving SMS messages at any time by replying STOP to any NEMTIFY text message. You will receive a single confirmation message after opting out. No additional messages will be sent unless you re-opt-in.

Supported Carriers
NEMTIFY SMS messages are supported on all major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.
Privacy
Your privacy is important to us. Please review our Privacy Policy for information on how we collect, use, and protect your mobile information. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.
Intellectual Property
Unless otherwise stated, NEMTIFY and/or its licensors own the intellectual property rights for all material on the website and platform, including but not limited to software, text, graphics, logos, and designs. All intellectual property rights are reserved.
You retain ownership of all data you submit to the NEMTIFY platform. By using the Services, you grant NEMTIFY a limited license to use your data solely for the purpose of providing the Services to you.
Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. NEMTIFY does not warrant that the Services will be uninterrupted, error-free, or secure.
Limitation of Liability
To the fullest extent permitted by applicable law, NEMTIFY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of or inability to use the Services.
Indemnification
You agree to indemnify, defend, and hold harmless NEMTIFY, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from your use of the Services or your violation of these Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Illinois.
Changes to These Terms
NEMTIFY reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
